Terms and Conditions & Refund Policy

Welcome to Howdy Partners Advisory LLC (“Howdy Partners,” “we,” “us,” or “our”). These Terms and Conditions (the “Terms”) govern your use of our website and your engagement with our professional bookkeeping, accounting, and advisory services. By accessing or using our site or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please discontinue use of the website and services.
 

1. Services

Howdy Partners Advisory LLC provides small business bookkeeping, QuickBooks Online setup, financial reporting, fractional controller services, and related professional financial advisory services. Our services do not include legal advice, audit services, or tax filing unless expressly agreed in writing.

Clients acknowledge that we rely on financial information they provide, and accuracy of that information is the client’s responsibility.
 

2. Eligibility and Acceptance

By engaging with us or using the website, you represent that:

  • You are at least 18 years old and able to form legally binding contracts; and

  • You are authorized to act on behalf of the business or entity you represent.

We may modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of services after changes constitutes acceptance of the updated Terms.
 

3. Payment and Billing

Fees for services are set out in your engagement agreement, invoice, or as otherwise communicated. Unless otherwise agreed, all fees are due upon receipt of invoice or prior to commencement of services.

Late payments may result in suspension of services. Clients are responsible for all costs of collection, including fees and expenses.
 

4. Client Responsibilities

Clients agree to:

  • Provide full, accurate, and timely information necessary for delivery of services.

  • Respond to requests from Howdy Partners in a timely manner.

  • Maintain independent records and documentation supporting financial information provided.

Failure to provide timely and accurate information may delay services and could impact outcomes.
 

5. Limitation of Liability

To the fullest extent permitted by law, the total liability of Howdy Partners for any claim related to services or use of this website shall not exceed the fees actually paid by the client for the specific service giving rise to the claim.

In no event shall Howdy Partners be liable for any indirect, incidental, consequential, special, or punitive damages.
 

6. Refund Policy

General Policy

Howdy Partners is committed to high-quality service. Because our services are professional in nature and involve customized work, most service fees are considered earned once work has begun and are non-refundable. Exceptions may be made only in limited circumstances such as duplicate charges, billing errors, or clear overpayments, at our discretion.

Non-Refundable Services

The following fees and work are strictly non-refundable once charged or once work has begun:

  • Setup and onboarding fees

  • Cleanup or catch-up bookkeeping work

  • Grant compliance and reporting services

  • Advisory services and fractional controller strategy sessions

  • Rush or expedited work

  • Any project work once commenced


Retainers, Hourly, and Project Fees

  • Monthly Retainers: Once a billing period begins, retainer fees are non-refundable.

  • Hourly Services: Time already worked and billed is non-refundable.

  • Project-Based Work: Fees for projects already started are non-refundable.
     

Termination and Notice

Clients must provide 30 days’ written notice (submitted via email) to terminate ongoing services and avoid future billing. Services and billing continue during the notice period. Failure to provide proper notice may result in additional charges.
 

Refund Eligibility and Request Process

Refunds may be considered only for:

  • Duplicate payments

  • Billing errors

  • Verified overpayments


Refund requests must be submitted in writing by email and include client name, invoice number(s), and reason for the request. Requests should be made within a reasonable timeframe after the charge appears.
 

How Refunds Are Issued

If approved, refunds will be issued by check, processed within a reasonable timeframe after approval. Refunds are not issued as account credits unless agreed in writing.


7. Termination of Services by Us

Howdy Partners may suspend or terminate services if:

  • Client fails to pay fees on time;

  • Client breaches these Terms; or

  • Continued engagement exposes us to liability or ethical conflict.


Termination does not relieve the client of outstanding payment obligations for services already performed.


8. Governing Law

These Terms and any disputes arising from them are governed by the laws of the State of Texas, without regard to conflict of law principles.
